1. Contract Formation
1.1 These Terms govern any contract for the purchase of goods between Amelie GmbH (“Seller”) and the customer (“Buyer”).
1.2 A contract shall only be deemed to have been concluded once the Seller has accepted the Buyer’s order and sent a written order confirmation. Until then, all offers are non-binding.
2. Prices and Payment
2.1 All prices quoted by the Seller are in EUR and include applicable statutory VAT, unless stated otherwise.
2.2 Payment must be made in accordance with the payment methods and terms set out in the order confirmation or invoice.
3. Retention of Title
3.1 Title to the goods shall remain with the Seller until the purchase price has been paid in full.
4. Delivery and Delivery Times
4.1 Unless otherwise agreed, the standard delivery time shall be approximately 6 - 8 weeks. This time frame is only binding if it is expressly confirmed in writing by the Seller.
4.2 Exceptional express delivery options are possible. If the Buyer requests express delivery, the additional cost shall be borne solely by the Buyer.
5. Inspection and Notification of Defects
5.1 The Buyer is obliged to inspect the goods for any obvious defects immediately upon receipt, and in any case within seven (7) days, and to notify the Seller in writing of any such defects.
5.2 If the Buyer fails to notify the Seller of obvious defects within that period, claims relating to such defects shall be excluded.
5.3 If a defect is timely notified and is justified, the Buyer may demand remediation in accordance with statutory warranty provisions (e.g., repair or replacement).
6. Limitation of Liability
6.1 The Seller shall be liable for willful misconduct and gross negligence.
6.2 Claims for damages, compensation, or reimbursement beyond this are excluded, except where mandatory statutory provisions apply (e.g., injury to life, body, or health).
7. Data Protection
7.1 The Seller processes personal data in accordance with its Privacy Policy. By placing an order, the Buyer consents to such processing.
8. Dispute Resolution; Alternative Dispute Resolution
8.1 Pursuant to Art. 14 para. 1 of the EU Regulation on Online Dispute Resolution (ODR-VO) and § 36 of the German Act on Alternative Dispute Resolution in Consumer Matters (VSBG), the Seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
9. Governing Law and Jurisdiction
9.1 These Terms and all legal relations between the Buyer and Seller shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
9.2 If the Buyer is a business entity, the exclusive place of jurisdiction for all disputes arising from or in connection with the contract shall be Essen, Germany.
10. Final Provisions
10.1 Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected.
10.2 Amendments or additions to these Terms must be made in writing to be effective.
